Finalizing the Definite Purchase Agreements and ancillary documents is a tedious and time-consuming process. In addition to managing the Closing process, we also ensure that the Transition and Training Plan is in place and that both sides have the same expectations. We will:
- Attend and manage all team meetings to review and comment on the buyer’s purchase agreement
- Work with the Seller’s team to manage the tax consequences and get to an acceptable offer, including negotiating directly with the buyer or buyers advisors
- Coordinate and monitor changes in financial and non-financial terms with attorneys from both sides who draft the legal documents
- Help to reduce Seller costs, including ensuring that each side pays their own fees
- Address regulatory and licensing requirements relevant to the change of ownership process
- Coordinate escrow instructions or legal closing depending on the transaction
- Help the parties verify the preliminary Seller and Buyer statements, including a review of all closing adjustments, completion of an inventory count, accounting for prepaid expenses and accrued liabilities, and ensuring liability & lien pay-offs
